Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the LifecyclePro service operated by LifecyclePro ("us", "we", or "our").

1. Agreement to Terms

By accessing or using LifecyclePro, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

LifecyclePro is a Software-as-a-Service (SaaS) platform that provides employee lifecycle management tools, including but not limited to:

  • Automated employee onboarding and offboarding workflows
  • Integration with third-party business applications
  • Task management and tracking
  • Audit logging and compliance reporting
  • User and access management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for safeguarding your account credentials. We are not liable for any loss or damage arising from your failure to comply with this section.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. Your subscription plan determines your access to features, number of customers, employees, and integrations.

4.2 Free Trial

We may offer a free trial period. During the trial, you have full access to the Service. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No credit card is required for the trial period.

4.3 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms. You authorize us to charge your payment method for all fees associated with your subscription.

4.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to your next billing cycle.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period. No refunds are provided for partial billing periods.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or unauthorized purpose
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Share your account credentials with others
  • Impersonate any person or entity

We reserve the right to suspend or terminate your account immediately if you violate this Acceptable Use Policy.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information in accordance with our Privacy Policy.

You retain all ownership rights to your data. You grant us a limited license to use, store, and process your data solely to provide and improve the Service.

You are responsible for ensuring that you have the right to provide any data you upload to the Service, including employee information and third-party credentials.

7. Third-Party Integrations

The Service integrates with third-party applications and services. Your use of these integrations is subject to the terms and conditions of those third-party services. We are not responsible for the availability, accuracy, or functionality of third-party services.

You are responsible for maintaining valid credentials and authorizations for any third-party services you connect to the Service. We are not liable for any issues arising from third-party service failures or changes.

8. Intellectual Property Rights

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by LifecyclePro and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

You may not:

  • Copy, modify, or create derivative works of the Service
  • Remove any proprietary notices or labels
  • Use our trademarks or logos without written permission
  • Resell, sublicense, or redistribute the Service

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

  • Scheduled maintenance
  • Unscheduled maintenance or emergency repairs
  • Third-party service outages
  • Force majeure events

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice when possible.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results obtained from using the Service will be accurate or reliable

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LIFECYCLEPRO, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

The above limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless LifecyclePro, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including privacy or intellectual property rights
  • Any data or content you submit, post, or transmit through the Service
  • Your violation of any applicable laws or regulations

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us.

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • We may delete your account and data after a reasonable retention period
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

14. Data Export and Deletion

You may export your data at any time through the Service's export features. Upon account termination, you may request deletion of your data. We will delete your data within 30 days of your request, except where we are required to retain it by law or for legitimate business purposes.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution Process

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LifecyclePro regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the new Terms on this page
  • Sending you an email notification
  • Displaying a notice within the Service

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
